Terms & conditions
The agreement between you and LoadX Solutions Inc for quoting, booking and arranging the transport of your vehicle through our carrier network.
Effective date: January 1, 2026. These terms govern individual and family vehicle shipments booked with LoadX Solutions Inc. Businesses, dealers, auctions and fleets should also review our Terms & Conditions – B2B, which apply to commercial accounts in addition to the terms below.
Acceptance of terms
By requesting a quote, accepting a price, or authorizing LoadX Solutions Inc to arrange transport of a vehicle, you agree to be bound by these terms and by the bill of lading issued for your specific shipment. If you do not agree with these terms, please do not book a shipment with us.
Services offered — we are a broker, not a carrier
LoadX Solutions Inc is licensed by the Federal Motor Carrier Safety Administration as a property broker (USDOT USDOT #4555866, MC #1810077). We do not own trucks, trailers or equipment, and we do not physically transport vehicles ourselves. Our service is to identify, vet and engage an independent, appropriately licensed and insured motor carrier to perform the actual transport on your behalf, and to coordinate communication and payment between you and that carrier for the duration of the shipment.
Booking
A booking is created when you accept a quoted price and provide the pickup and delivery details, vehicle information and contact information we request. Accurate information is your responsibility — misrepresenting a vehicle’s operability, dimensions, modifications or condition may result in a revised price, a rescheduled pickup, or cancellation of the booking once discovered.
Quotes
Quotes are estimates based on the route, vehicle details, equipment type and market conditions at the time the quote is prepared, and are valid for a limited period stated at the time of quoting. A quote is not a guarantee of carrier availability at that price; if conditions change materially before a carrier is assigned, we will contact you with an updated price before proceeding.
Pricing
The price you approve is inclusive of carrier payment, our brokerage fee, standard fuel and insurance coverage carried by the assigned carrier. Additional charges may apply only where the shipment itself changes from what was quoted — for example, a non-running vehicle quoted as operable, oversized dimensions, an added stop, or a rescheduled pickup window during a period of constrained capacity — and any such change will be communicated to you before it is applied.
Payments
A deposit, charged to your card on file, is typically collected once a specific carrier is assigned and a pickup window is confirmed; no deposit is charged while we are still sourcing a carrier. The remaining balance is due to the carrier at the time of delivery, payable by the method the carrier accepts, unless a different arrangement has been confirmed with your coordinator in writing.
Pickup
Pickup occurs within an agreed window rather than at a fixed appointment time, since carriers coordinate multiple stops along a route. You or an authorized adult must be present to release the vehicle, walk through the pre-transport condition inspection with the driver, and sign the bill of lading. Carriers may request an alternate meeting point where street access, overhead clearance or local restrictions prevent safe access to your address.
Delivery
Estimated delivery dates are provided in good faith based on distance and route conditions but are not guaranteed arrival times. You or an authorized adult must be present at delivery to inspect the vehicle against the pickup condition report and sign the bill of lading before the carrier departs. Any discrepancy from the pickup condition must be noted on the bill of lading at the time of delivery.
Customer responsibilities
You are responsible for providing accurate vehicle and contact information, ensuring the vehicle is prepared for transport (fuel level, personal items removed, alarms disabled, functioning as described), making yourself or an authorized adult available at both pickup and delivery, and paying all amounts due under these terms. You are also responsible for disclosing any modifications, low clearance, or non-running condition at the time of booking.
Broker responsibilities
As your broker, we are responsible for preparing an accurate quote, sourcing a carrier that holds active operating authority and valid cargo and liability insurance for your shipment, communicating pickup and delivery details clearly, monitoring progress, and assisting with claims coordination if a dispute arises with the assigned carrier. We are not responsible for the physical handling, driving or condition of the vehicle during transport — that responsibility belongs to the carrier.
Carrier responsibilities
The carrier assigned to your shipment is an independent business, not an employee or agent of LoadX Solutions Inc. The carrier is responsible for safely loading, securing, transporting and unloading the vehicle, maintaining valid operating authority and insurance, communicating realistic pickup and delivery timing, and honoring the condition documented on the bill of lading. Carrier conduct, equipment and driving record are reviewed by us before dispatch but remain the carrier’s responsibility during performance.
Insurance
We verify that the assigned carrier holds active cargo and liability insurance covering your vehicle for the transport dates before dispatch. Coverage limits vary by carrier and equipment type; a copy of the certificate of insurance for your assigned carrier is available on request. Maintaining your own personal auto insurance policy during transport remains your responsibility, and we recommend confirming with your insurer whether it extends to third-party transport.
Cancellations
You may cancel a booking at any time before a carrier is assigned at no charge. Once a carrier has been assigned and a deposit collected, cancelling may result in a cancellation fee to compensate the carrier for holding the reserved capacity, unless the cancellation is due to a change caused by LoadX or the carrier. Cancellation requests should be made in writing to your coordinator as early as possible.
Delays
Pickup and delivery estimates can be affected by weather, road conditions, mechanical issues, hours-of-service regulations and other factors outside our control or the carrier’s control. We will communicate known delays as soon as we are made aware of them. Delays alone do not entitle a customer to a refund of the brokerage fee, though we will work with you and the carrier toward a reasonable resolution.
Force majeure
Neither party is liable for a failure or delay in performance caused by events beyond reasonable control, including severe weather, natural disaster, road closures, government action, labor disputes, fuel shortages or other circumstances that make performance impracticable. Affected obligations are suspended for the duration of the event, and both parties will act in good faith to resume performance once the event has passed.
Claims
Any damage must be noted on the bill of lading at the time of delivery and photographed before the carrier departs; damage discovered after the carrier has left and the delivery has been signed for as received in good condition is significantly more difficult to substantiate. Claims for transport-related damage are filed against the carrier’s cargo insurance policy. We assist in coordinating the claim between you and the carrier’s insurer but do not independently insure or guarantee the outcome of a claim.
Limitation of liability
To the fullest extent permitted by law, LoadX Solutions Inc’s liability arising from a shipment is limited to the brokerage fee paid for that shipment, except in cases of our gross negligence or willful misconduct in selecting or vetting the carrier. LoadX is not liable for the acts or omissions of an independent carrier, for indirect, incidental or consequential damages, or for loss of use, loss of value or delay-related expenses.
Governing law
These terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, and any dispute arising out of these terms or a shipment arranged under them will be subject to the exclusive jurisdiction of the state and federal courts located in Fairfax County, Virginia, except where federal broker-carrier regulation otherwise applies.
