Terms & conditions — business accounts

Commercial terms for dealers, auctions, fleet operators and other business accounts that ship multiple vehicles through LoadX Solutions Inc on an ongoing basis.

Effective date: January 1, 2026. These business terms apply in addition to, and where they conflict take precedence over, our standard Terms & Conditions for any account registered with LoadX Solutions Inc as a dealer, auction, fleet, broker or other commercial customer.

Business accounts

A business account is established when a company requests recurring or volume transport services and is approved by LoadX Solutions Inc for commercial terms. Approval may require a completed credit application, business license or dealer license number, and a signed account agreement. Business accounts are billed under the payment terms agreed at setup rather than the deposit-and-balance model used for individual consumer shipments.

Dealers

Franchise and independent dealers may book single or multi-vehicle transport for inventory acquisitions, dealer-to-dealer trades, and customer deliveries. Dealers are responsible for providing accurate VIN, title and condition information for each unit, and for having an authorized employee available at the dealership to release and receive vehicles in accordance with the pickup and delivery procedures in our standard terms.

Auctions

Auction accounts may schedule pickup directly from an auction lot subject to that facility’s release procedures, gate hours and any run-list or paid-invoice requirements imposed by the auction. LoadX is not responsible for delays caused by an auction’s internal release process, incomplete paperwork on the auction’s side, or vehicles that are not staged and ready for pickup at the scheduled time.

Fleet

Fleet customers relocating or redistributing multiple vehicles across locations may request consolidated scheduling and reporting across a batch of units. Fleet moves are quoted per vehicle unless a batch rate has been agreed in writing, and any recurring or scheduled fleet program is subject to the specific service level terms confirmed with your account manager.

Partner brokers

Where LoadX Solutions Inc accepts a load from, or refers a load to, another licensed transportation broker, the arrangement is governed by a separate co-broker agreement between the parties covering rate confirmation, payment terms and liability allocation, in addition to these terms. Nothing in this section authorizes an unlicensed party to broker freight through LoadX’s operating authority.

Commercial shipments

Commercial shipments follow the same booking, pickup, delivery and claims process described in our standard Terms & Conditions, with pricing, scheduling priority and equipment allocation adjusted for volume where applicable. Business accounts should route all shipment requests through their assigned coordinator to keep pricing and reporting consistent across the account.

Payment terms

Approved business accounts may be offered net payment terms (for example, net 15 or net 30) in place of per-shipment deposits, at the sole discretion of LoadX Solutions Inc and subject to satisfactory payment history. Accounts that fall past due may be placed on hold, moved to prepayment, or subject to a late payment charge as stated in the account agreement.

Invoicing

Invoices are issued per shipment or on a consolidated statement schedule agreed with your coordinator, and should reference the load or unit number for each vehicle to allow accurate reconciliation. Disputed line items must be raised in writing within a reasonable period of the invoice date; undisputed portions of an invoice remain due on the agreed terms.

Volume pricing

Volume-based pricing tiers reflect projected shipment counts over an agreed period and are reviewed periodically against actual volume. Rates are not guaranteed indefinitely and may be adjusted with notice if fuel costs, lane capacity or shipment volume change materially from what was projected when the rate was set.

Commercial liability

Except as separately agreed in a signed account agreement, LoadX Solutions Inc’s liability to a business account is subject to the same limitation described in our standard Terms & Conditions — limited to the brokerage fee paid for the affected shipment, with claims for vehicle damage directed to the assigned carrier’s cargo insurance. Business accounts carrying their own inventory or garage-keeper’s insurance should coordinate coverage with their own carrier or agent for transit exposure beyond the carrier’s cargo policy.

Business responsibilities

Business accounts are responsible for providing accurate unit-level information for each vehicle in a batch, ensuring an authorized representative is available at each pickup and delivery location, keeping billing and remittance contacts current, and promptly reporting any exception (damage, no-show, access issue) so it can be resolved before it affects other units in the same shipment.

Compliance

Business accounts represent that they hold any dealer, auction or motor vehicle licenses required in their state of operation, and that vehicles tendered for transport are lawfully titled or consigned to them. LoadX reserves the right to decline or suspend a shipment where compliance documentation cannot be verified.

Dispute resolution

Business accounts agree to raise a billing, service or claims dispute with their assigned coordinator or account manager in writing and allow a reasonable opportunity for resolution before escalating the matter. Disputes that cannot be resolved informally will be handled under the governing law and venue provisions below.

Governing law

These business terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, and any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Fairfax County, Virginia, except where federal broker-carrier regulation otherwise applies.

These business terms may be updated from time to time. The version in effect at the time a shipment is booked applies to that shipment, and material changes affecting active account agreements will be communicated to the account contact on file.
